Compass Pathways Announces Pricing of $150 Million Public Offering

Compass Pathways priced a $150 million public offering of 17,500,000 American Depositary Shares (ADSs) at $8.00 per ADS, and plans additional pre-funded warrants for up to 1,250,000 ADSs at $7.9999. The company also granted underwriters a 30-day option to buy up to an additional 2,812,500 ADSs. The offering is expected to close on or about February 20, 2026, subject to customary closing conditions, and the shelf registration statement became effective May 7, 2025. Compass says it will use net proceeds, together with existing cash, to fund Phase 3 trials for COMP005 and COMP006, a Phase 2b/3 trial of COMP360 in PTSD, and other commercial readiness, working capital, and general corporate purposes. Compass is developing COMP360, a synthetic psilocybin-based treatment.
